Terms of Sale – Parisia

Article 1 – Purpose and scope

1.1 These terms and conditions of sale (Terms of Sale) govern the free plan, the subscription to the Service, the purchase of image packs, prices and payment. They are entered into between Parisee Eyewear, referred to as “Parisia”, whose details are given in Article 1 of the Terms of Use, and the Customer.

1.2 Paid plans are reserved for professionals. The Customer is the User, within the meaning of the Terms of Use, who takes out a subscription or buys an image pack as part of their professional activity.

1.3 The Terms of Sale supplement the Terms of Use. The terms defined in Article 2 of the Terms of Use have the same meaning in the Terms of Sale. In the event of any conflict on subscription, prices or payment, the Terms of Sale prevail.

1.4 The Customer expressly accepts the Terms of Sale before any subscription or purchase, by ticking a box. The version that applies is the one in force on the date of the order. The Terms of Sale are available at any time on the Service and are sent to the Customer by email with the confirmation of their order. For the free plan, they are accepted at the same time as the Terms of Use, at sign-up.

Article 2 – Subscription plans

2.1 Parisia offers monthly or annual subscriptions, under several plans. The content of each plan (number of images per month, Tools available, resolution and output formats, carry-over of unused images, number of Connected Sites and Alt Texts) and its price are shown on the Pricing page of the Service. This page forms part of the Terms of Sale, in the version in force on the date of the order.

2.2 Parisia may change its plans. A change that reduces the content of a plan (number of images, resolution, carry-over) applies to an existing subscription only at the first renewal that falls at least 30 days after the Customer has been informed by email.

Article 3 – Free trial

3.1 On their first subscription, the Customer may benefit from a one-month free trial of the Starter plan. The trial’s image quota is that of the Starter plan. Only one trial is granted per Customer: a second trial with the same payment method is refused, and payment is then charged immediately.

3.2 The trial requires a payment method to be registered. At the end of the trial, the monthly Starter subscription starts automatically and the first payment is charged, unless the Customer has cancelled or chosen another plan (Article 10.4). Parisia sends a reminder email before the end of the trial.

3.3 Parisia may change or discontinue the trial offer at any time. A trial that has already started continues on the terms in force when it began.

Article 4 – Image and Alt Text quota

4.1 Each plan includes a number of images per month, called the “quota”. The image is the unit used to count the quota. In the application, it may also be called a “generation” or a “unit”. The quota is renewed each month on the subscription anniversary date, including for an annual subscription.

4.2 Each Visual delivered is deducted from the Customer’s available images, in the order set out in Article 5.2, even if it does not suit the Customer. Each Tool states the number of images deducted per photo processed; this number may be more than one. Tools marked as free are not deducted. A creation is not deducted when it fails because of a technical error or a refusal by an AI Provider.

4.3 Quota images not used on the renewal date are lost, unless the plan provides for carry-over (Article 5).

4.4 Each plan includes, for each Connected Site, a number of Alt Texts per month. This number and the number of Connected Sites allowed are shown on the Pricing page. Each Site’s Alt Text quota is reset every 30 days, starting from the date the Site is connected. Unused Alt Texts are not carried over.

4.5 Without a subscription, the free plan allows Alt Texts to be written through the Plugin, within the limits shown on the Pricing page. This quota is reset every 30 days, starting from the date the Site is connected. The free plan does not give access to the Visual creation Tools. Parisia may change or discontinue it at any time. When a subscription ends, the Account moves to the free plan.

4.6 When the Alt Text quota is used up, writing of Alt Texts is suspended until the next reset. The Plugin continues to convert images.

Article 5 – Carry-over of unused images

5.1 If the plan so provides, images not used at the end of a month are carried over and added to the following month’s images, up to a stock equal to six times the plan’s monthly quota. Beyond this limit, the most recent excess images are lost. Details are shown on the Pricing page.

5.2 The oldest images are used first: carried-over images first, then those of the current month. Image packs are used only afterwards.

Article 6 – Image packs

6.1 The image pack supplements a subscription. A Customer subscribed to one of the plans may buy one at any time. During the free trial, they must first choose their plan. The content and price of the packs are shown on the Pricing page.

6.2 Images in a pack may be used for one year from the pack’s purchase date. They are used only once all the other images of the subscription have been used up (those of the current month and any carried-over images).

6.3 Packs are non-refundable. If the subscription ends, the images of a pack remain attached to the Account until their expiry date. The Customer may use them again if they take out a plan before that date. Otherwise, they are lost.

Article 7 – Prices and taxes

7.1 Prices are shown exclusive of tax on the Pricing page. They are expressed in euros for Customers established in a country whose currency is the euro, and in US dollars for others. The currency depends on the country given at sign-up. The price that applies is the one in force on the date of the order.

7.2 Applicable taxes, in particular VAT, are added to the prices exclusive of tax, in accordance with the regulations in force and the Customer’s country. Where the Customer is established in another European Union country and provides a valid VAT number, the invoice is issued without VAT, the tax being declared by the Customer in their own country (reverse charge). The Customer bears the consequences of any inaccurate information about their country or VAT number.

7.3 Parisia may change its prices. For an existing subscription, the new price applies at the first renewal that falls at least 30 days after the Customer has been informed by email. For packs, the new price applies to subsequent purchases.

Article 8 – Payment and invoicing

8.1 Subscriptions are paid in advance, at the start of each monthly or annual period. Packs are paid for at the time of purchase. Payment is made by the means offered on the Service, through a payment provider.

8.2 An invoice is issued for each payment. It is issued in electronic form, sent to the Customer by email and available in their Account.

Article 9 – Term and automatic renewal

9.1 The subscription is entered into for one month or one year, as chosen by the Customer. It renews automatically for the same term, unless cancelled (Article 11).

Article 10 – Changing plan

10.1 The Customer may move to a higher plan, with the same billing frequency, at any time. The change takes effect immediately. The new plan’s quota applies straight away, taking into account the images already used in the current period. The renewal date does not change. The price difference for the remaining days of the period is invoiced pro rata. Unused images are kept.

10.2 The Customer may move to a lower plan at any time. The change takes effect at the next renewal. Until then, the Customer keeps their current plan. If the new plan does not provide for carry-over, carried-over images are lost on the date of the change.

10.3 Moving from a monthly subscription to an annual subscription takes effect immediately: a new period begins, with the full quota of the chosen plan. The amount corresponding to the remaining days of the old period is deducted from the first payment. Unused images from the old period are lost, except for carry-over provided for in Article 5. Moving from an annual subscription to a monthly subscription takes effect at the next annual renewal.

10.4 If the Customer chooses a plan during the free trial, the trial ends immediately. The chosen plan starts the same day, with the first payment and the full quota of that plan. Unused images from the trial are lost.

Article 11 – Cancellation

11.1 The Customer may cancel their subscription at any time from their Account. Cancellation takes effect at the end of the current period. Until that date, the Customer keeps access to their plan.

11.2 Cancellation does not give rise to any refund for the current period, including for an annual subscription cancelled during the year.

11.3 Deletion of the Account by the Customer ends their subscription immediately, without refund. All unused images are then lost, including carried-over images and those from packs.

11.4 If Parisia suspends or closes the Account because of a breach by the Customer of the Terms of Use (Articles 15.2 and 15.3 of the Terms of Use), no refund is due. In the case of closure, the subscription ends immediately.

11.5 Parisia may stop providing the Service. It informs the Customer by email at least 30 days in advance. It then refunds the share of the price corresponding to the remaining subscription period, together with any unused pack images.

Article 12 – Non-payment

12.1 If a payment fails, access to the plan is suspended until it is settled. Parisia informs the Customer by email and makes further attempts over two weeks. If the payment is still not settled at the end of this period, the subscription is terminated.

12.2 Any sum not paid by its due date automatically gives rise to late-payment penalties equal to three times the statutory interest rate, together with a fixed indemnity of €40 for recovery costs.

Article 13 – Governing law and disputes

13.1 These Terms of Sale are written in French. Translations may be provided for information only; in the event of any difference, the French version prevails.

13.2 These Terms of Sale are governed by French law. In the event of a dispute, the Customer first sends a written complaint to contact@parisia.app, in order to seek an amicable solution.

13.3 Subject to mandatory rules that apply, any dispute falls within the exclusive jurisdiction of the courts of the district of Parisia’s registered office.
